1. Acceptance of Terms
These Terms & Conditions are an agreement between you and the operator of the Briedo platform ("Briedo", "we", "us"). By accessing or using Briedo ("the Service"), you agree to be bound by these Terms. If you do not agree, please do not use the Service. These terms apply to all users, including agencies, their team members, clients, and visitors.
2. Description of Service
Briedo is AI-powered pre-call discovery infrastructure for professional teams. The Service enables a team to collect, clarify, and summarise client information through automated AI conversations before a first call takes place.
Briedo is provided as a Software-as-a-Service (SaaS) product. Features and availability may change over time.
3. Eligibility
Briedo is a business-to-business service intended for use by agencies and professional service businesses. To register an account you must be at least 18 years old and have the authority to enter into this agreement on behalf of your organisation. The Service is not directed at consumers or children.
4. User Accounts
To use Briedo as an agency, you must create an account. You are responsible for:
- Providing accurate, up-to-date account information.
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your account.
You must notify us immediately at contact@briedo.com if you suspect unauthorised access to your account.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, national, or international law or regulation.
- Collect or process personal data without a lawful basis or appropriate consent.
- Send spam, unsolicited communications, or deceptive content to end users.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Use the Service to train or build competing AI models.
6. Subscription and Billing
Briedo offers paid subscription plans. Current plans and prices are shown on our pricing page and are subject to change with 30 days' notice. Subscriptions renew automatically for the same period unless cancelled before the renewal date.
Refunds are handled on a case-by-case basis, contact contact@briedo.com within 7 days of a charge if you believe an error occurred.
7. Plans and evaluation arrangements
Briedo is offered on paid monthly plans. Separately from those plans, Briedo may agree an evaluation or pilot arrangement with a selected agency on individually agreed terms. Such an arrangement is not part of the published offer, is provided for evaluation purposes, without any service-level agreement (SLA), uptime guarantee, or warranty, and may be modified or ended at our discretion. Where an evaluation arrangement ends, continued use requires a paid plan.
8. AI-Generated Content
The Service uses artificial intelligence to generate conversation responses and client summaries. This content is provided for informational purposes only. Briedo does not guarantee the accuracy, completeness, or fitness for a specific purpose of any AI-generated output.
Agencies remain solely responsible for evaluating AI-generated briefs and making their own business decisions.
9. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described therein.
As an agency using Briedo, you act as the data controller for end-user (client) data collected through the Service, and Briedo acts as your data processor. You are responsible for ensuring you have the appropriate legal basis to collect that data. Where your use of the Service involves processing personal data subject to the GDPR, our Data Processing Agreement applies and is incorporated into these Terms by reference.
10. Intellectual Property
The Briedo platform, branding, and all associated software are the exclusive property of Briedo and its licensors. You may not reproduce, distribute, or create derivative works without explicit written permission.
You retain ownership of all data you input into the Service. By using the Service, you grant Briedo a limited licence to process that data solely to provide the Service to you.
11. Confidentiality and Customer Data
Mutual confidentiality. In the course of the relationship, each party may receive non-public information belonging to the other ("Confidential Information"). Each party agrees to use the other's Confidential Information only for the purposes of the relationship contemplated by these Terms, to protect it with at least reasonable care, and not to disclose it to third parties except as permitted in this section.
Briedo Confidential Information includes the non-public aspects of the Service: functionality visible only in authenticated areas, unreleased or beta features, internal documentation, technical implementation and security information, and non-public commercial terms (such as pilot or pricing arrangements offered specifically to you). You agree not to publicly share screenshots, screen recordings, or detailed descriptions of non-public, authenticated areas of the Service without our prior written permission. This does not restrict you from describing or discussing publicly available parts of Briedo, including the public website and published materials, or from sharing outputs generated for your own clients in the ordinary course of your business.
Your Confidential Information includes your business information and all data that you and your end users submit to the Service ("Customer Data"): intake conversations and discovery responses, briefs, uploaded files and documents, campaign and commercial information, and information relating to your clients, prospects, and leads. Information about your clients, prospects, and leads is treated as your Confidential Information even though those individuals interact with the Service directly.
How Briedo uses Customer Data. We process Customer Data only to provide, operate, secure, maintain, support, and improve the Service, including the AI functionality you request, debugging and support, backups, fraud and abuse prevention, and compliance with legal obligations, using the vetted subprocessors listed on our Subprocessors page. Briedo does not:
- Sell Customer Data.
- Use Customer Data for advertising.
- Publish Customer Data or disclose it to third parties unrelated to providing the Service.
- Use identifiable information about you or your clients in marketing or public case studies without your prior written authorisation.
- Contact or market to your clients, prospects, or leads for Briedo's own commercial purposes based on their presence in the Service, except as necessary to operate the Service (for example, transactional intake and report emails sent on your behalf) or where required by law.
- Use Customer Data, including intake conversations, briefs, and uploaded content, to train generalised AI models, whether for Briedo or for third parties. Our AI subprocessors process this data under terms that prohibit them from using data submitted through their APIs to train their models, as described in our Privacy Policy.
We may use aggregated, de-identified information that does not identify you, your clients, or your leads to operate, benchmark, and improve the Service.
Exclusions. Confidential Information does not include information that: (a) is or becomes publicly available without breach of these Terms; (b) was lawfully known to the receiving party before disclosure; (c) is lawfully received from a third party without a duty of confidentiality; or (d) is independently developed without use of the other party's Confidential Information.
Permitted disclosures. Each party may share the other's Confidential Information with its employees, contractors, and professional advisers who reasonably need it for the purposes of the relationship and who are bound by confidentiality obligations at least as protective as this section; for Briedo, this includes the authorised subprocessors that deliver the Service. Either party may disclose Confidential Information where required by applicable law, a court, or a competent authority, and will, where legally permitted, give the other party reasonable notice before doing so.
Duration and related documents. The obligations in this section apply during your use of the Service and survive termination of these Terms for as long as the information remains confidential and, for trade secrets, for as long as they qualify as trade secrets. To the extent Customer Data contains personal data, its processing is governed by our Privacy Policy and, where applicable, the Data Processing Agreement; if there is a conflict regarding the processing of personal data, the Data Processing Agreement prevails.
12. Warranties and Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Briedo disclaims all warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated output will be accurate or reliable.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Briedo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, even if Briedo has been advised of the possibility of such damages.
Briedo's total liability in any matter related to the Service is limited to the amount you paid for the Service in the 3 months preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless Briedo and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party, including claims relating to data you collect or process through the Service without an appropriate legal basis.
15. Termination
You may cancel your account at any time from your account settings. Briedo reserves the right to suspend or terminate accounts that violate these terms, without prior notice.
16. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and notify active users by email where the changes are material. Continued use of the Service after changes constitutes your acceptance of the updated Terms.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Bucharest, Romania.
